The BOI Rule Changed Again: U.S. Companies Are Now Exempt—So Update Your Compliance Checklist

If you own a U.S. small business, one major federal compliance item has changed again. On August 11, 2026, the Financial Crimes Enforcement Network (FinCEN) issued a final rule that permanently exempts U.S. companies from federal Beneficial Ownership Information (BOI) reporting under the Corporate Transparency Act. The final rule became effective August 14, 2026.

What changed

FinCEN states that U.S. companies are no longer required to file BOI reports. U.S. persons generally do not need to provide BOI to reporting companies, and U.S. persons with a FinCEN ID are not required to update or correct information they previously submitted.

The remaining federal BOI reporting regime applies principally to certain foreign entities registered to do business in the United States. Those foreign reporting companies do not report BOI for U.S. person beneficial owners or U.S. person company applicants.

What small-business owners should do now

  1. Remove obsolete BOI deadlines from your compliance calendar if your entity is a U.S. company covered by the exemption.
  2. Update internal checklists and onboarding materials so employees, bookkeepers, and advisors are not working from outdated federal filing guidance.
  3. Keep entity records current anyway. State annual reports, licenses, taxes, registered-agent obligations, payroll filings, and industry-specific rules still exist.
  4. Do not assume every entity is exempt. Foreign entities registered in the United States may still have BOI obligations.
  5. Use the current FinCEN page, not old blog posts. FinCEN itself warns that some older guidance online is outdated.

Why this matters beyond one filing

Compliance problems often come from stale checklists rather than bad intentions. A good small-business system has a regular process for reviewing federal, state, local, tax, licensing, insurance, employment, and industry requirements and removing tasks that no longer apply.

Good compliance is not “more paperwork.” It is having the right paperwork, on the right schedule, for the right business.

Your updated 2026 checklist

  • Confirm your entity type and state registration status.
  • Verify annual-report and registered-agent requirements.
  • Review federal, state, and local tax calendars.
  • Check business licenses and professional permits.
  • Review payroll, contractor, insurance, and employment obligations.
  • Document that U.S.-company BOI reporting is no longer on your federal checklist unless your facts place you in a remaining reporting category.
